IT Global — Fee Schedule

1.                  Overview

1.1               This document together with any of its annexures (Fee Schedule) forms part of the Community Suite Terms of Use between IT GLOBAL PTY LTD (ABN 26 160 457 205) and its affiliated companies, including INCLOODME PTY LIMITED (ABN 26 631 887 459) and you and specifies the Fees payable by you under the Community Suite Terms of Use, how they are calculated and applied. Unless otherwise defined in this Fee Schedule, a term that is defined in the Community Suite Terms of Use has the meaning given to that term in that document.  This Fee Schedule includes any changes from time to time in accordance with the Community Suite of Terms and incorporates the latest current fees displayed on our Community Suite, as amended from time to time by IT Global in accordance with the Community Suite of Terms.

1.2               You authorise IT Global to deduct payment for fees due and payable by you from the credit card or debit card or other form of payment you provide to us in accordance with the direct debit or other authority you provide at the time of providing the card or other payment details. IT Global may charge you for its costs incurred in providing card facilities for payments by a credit or debit card or other form of payment. IT Global's fee for using a credit or debit card or other form of payment will be specified on the Community Suite at the time that you provide IT Global with the relevant card or account details or IT Global debits a fee from you.  

2.                  Community Account Members, Plans, types of Fees and calculation

2.1               Each Personal Account Member must pay Fees for his or her own use of the Community Suite and services. Each Group Account Member must pay Fees for his, her or its use, and for his, her or its Authorised Group Members' use, of the Community Suite and services.   

2.2               No Fees are payable with regards to an Inclood Member's membership of an Inclood Community Group and use of  the "Inclooded" communication and sharing functionality provided by the Community Suite for a Inclood Community Group.

2.3               The Fees payable are dependent on the membership plan (Membership Plan) and functionality a Personal Account Member or Group Account Member has subscribed to and other services which the Personal Account Member or the applicable Group Account Member has agreed to purchase.

2.4               IT Global charges different types of Fees as follows.

(a)                 Usage Fees - these Fees are payable for use of the Community Suite, or part of it.

(b)                 Professional Services Fees - these are one-off Fees payable for Professional Services such as implementation, data migration services or training services. Professional Services Fees only apply where IT Global and you agree that IT Global is to provide Professional Services.

(c)                 Support Fees - these Fees are payable for Support Services. Support Fees only apply where IT Global and you, or IT Global and the applicable Group Leader, agree that IT Global is to provide Support Services.

2.5               Some of the Membership Plans have capped Fees (Capped Plans). In addition, some of IT Global Fees are payable by reference to a period of time. Reference to a Membership Year for an Inclood Member means the 12 month period commencing from the date IT Global makes the Portal available to that Inclood Member in his or her capacity as a Personal Account Member or Group Account Member or Authorised Group Member as relevant, for use (or other date IT Global agrees with that Member for use) and each successive 12 month period after that.

2.6               Some Usage Fees reduce depending on the relevant volume band per annum. Annum refers to a Membership Year. The price for each volume band only applies to the number of relevant chargeable items in that volume band. For example, where the volume banding is by number of Accepted Requests for Request Fee, and the aggregate number of Accepted Requests in a Membership Year is above the low volume band, the additional number of Accepted Requests within the medium band are charged at the medium band price and, where relevant, the additional number of Accepted Requests within the high volume band will be charged the high volume band price.

3.                  When Fees are payable

3.1               In this section, references to 'you' refer to Personal Account Members or Group Account Members (as applicable).

3.2               When Usage Fees, Support Fees and Professional Services Fees are payable is dependent on whether  you have purchased what IT Global calls a Commercial Bundled Account or a Prepaid Bundled Account.

(a)                 Commercial Bundled Account - IT Global is entitled to charge you, and you must pay Usage Fees and where relevant to your plan, Support Fees fortnightly in arrears on or after the 14th and 28th day of each month.

Where relevant, IT Global is entitled to charge you Professional Services Fees in advance, unless it has agreed in writing to charge you in arrears. IT Global is entitled to deduct the amounts due on or after 14th and 28th day of each month.

IT Global is entitled to deduct payment at any time on or after 14th and 28th day of each month from your nominated payment source, and IT Global will provide you with a tax invoice with a statement of our Fees for the relevant period. If IT Global has agreed alternative payment terms with you, you must pay in accordance with those alternative payment terms.

You are only entitled to a Commercial Bundled Account if IT Global has accepted in writing your application for this form of account.

(b)                 Prepaid Bundled Account - You must pay an amount in advance for use of the Community Suite and Services and IT Global deducts an amount equal to Usage Fees and Support Fee chargeable to you depending on your usage of the Community Suite and services.   

IT Global is entitled to deduct from your prepaid account balance an amount equal to any Usage Fees and Support Fees chargeable for a period, monthly in advance and any Usage Fees and Support Fees chargeable for a particular event or usage, at anytime on or after the time of the event or usage.

IT Global is entitled to deduct from your prepaid account balance an amount equal to Professional Services Fees chargeable in advance, unless it has agreed in writing to charge you in arrears, in which case IT Global is entitled to deduct an amount equal to Professional Services Fees at anytime on or after the performance of any part of the relevant Professional Services.

IT Global will notify Members when their pre-paid balance reaches $10.00. Your rights to use the Community Suite are automatically suspended when your usage of the Community Suite has reduced your account balance to zero. You may recharge your account balance by payment to IT Global provided your account has only been suspended and has not been terminated. If you have not used up your prepayment, any amount you pay in advance cannot be used to consume Community Suite and services 12 months after the date you pay that amount to IT Global.

3.3               IT Global is entitled to charge interest of 6% above the Official Cash Rate of Reserve Bank of Australia per annum for late payment from the due date for payment until payment is made.

Annexure A - Description of IT Global Current Fees - last issued [insert]

1.                  Usage Fees

1.1               If a Usage Fee is specified to be Payable Per Member Use* it means the following:

(a)                 when a Personal Account Member uses the functionality of the Community Suite, which is chargeable, then there is a Usage Fee payable by that Personal Account Member for that Personal Account Member's use of the Community Suite; and

(b)                 when a Group Account Member or any of its Authorised Group Members uses the functionality of the Community Suite (collectively Relevant Group Member), which is chargeable, then there is a Usage Fee payable by the Group Account Member for the Relevant Group Member's use of the Community Suite.

1.2               A Personal Account Member or Group Account Member (as applicable) will pay the following Usage Fees relating to use of the Community Suite.

Request Fee

Single Request Authority - The Community Suite enables a Personal Account Member or a Group Account Member and any of its Authorised Group Members, as a “Requestor” to communicate, share information, or make a job or task request with another Inclood Member being the “Respondent”.  

A Request Fee is payable, if the Inclood Member, who is the Respondent, agrees to “accept” the request through the Community Suite by way of a “Handshake” (Accepted Request).

If you are a Personal Account Member, you will pay one Request Fee for each Accepted Request.

If you are a Group Account Member, you will pay one Request Fee for each Accepted Request (the Request Fee is not multiplied across the number of Authorised Group Members of the Group Account Member).

The Request Fee varies depending on the Membership Plan and features selected by you.

The Request Fee is one fee for the Accepted Request (job, task or other chargeable item). Any breakdown of functional components which make up the Request Fee is for information purposes only.

If you pay a Request Fee for an Accepted Request, you do not have to pay the following fees for items or tasks submitted as part of the relevant job or task request: My Calendar View Share Fee, My Calendar Scheduler Fee, My Item Viewer Fee and My Routine Scheduler Fee.

 

1.3               A Personal Account Member or Group Account Member (as applicable) will pay the following Usage Fees relating to use of the App.

IncloodMe App Fee - Community Library

Payable Per Member Use*

A Fee is payable for each use of a checklist or document within the Community Library by a Personal Account Member or a Group Account Member or any of its Authorised Group Members, as relevant.

This Fee is subject to a cap per Inclood Member per Membership Year.

IncloodMe App Fee - Condition

Payable Per Member Use*

A Fee is payable for each use of a condition or compliance check record or report by a Personal Account Member or a Group Account Member or any of its Authorised Group Members, as relevant, using the 'IncloodMe - Condition' functionality.

This Fee is subject to a cap per Inclood Member per Membership Year.

IncloodMe App Fee -  Item

Payable Per Member Use*

A Fee is payable for each item recorded as being actioned, collected or reported on by a Personal Account Member or a Group Account Member or any of its Authorised Group Members, as relevant, using the 'IncloodMe - Item' functionality.

This Fee is subject to a cap per Inclood Member per Membership Year.

 

1.4               A Personal Account Member or Group Account Member (as applicable) will pay the following Usage Fees relating to use of the 'My Calendar View Share' and 'My Calendar Scheduler' functionality in the Community Suite.

My Calendar View Share Fee

Payable Per Member Use*

The Calendar Viewer provides a Personal Account Member or a Group Account Member and any of its Authorised Group Members with view sharing of Inclooded Members' availability and or task progress.

A Fee is payable for each scheduled item or task in the Inclooded Member's calendar the Personal Account Member or Group Account Member or any of its Authorised Group Members, as relevant, view using the 'My Calendar View Share' functionality in the Community Suite.  Once a Fee is payable for that scheduled item or task, the same Inclood Member may view that scheduled item or task on multiple occasions without incurring an additional My Calendar Share Fee. 

This Fee is subject to a cap per Inclood Member per Membership Year.

My Calendar Scheduler Fee

Payable Per Member Use*

The Calendar Scheduler shares a Personal Account Member's or a Group Account Member's and any of its Authorised Group Members' task allocation and schedule control.

A Fee is payable for each task or item that is scheduled by a Personal Account Member or a Group Account Member or any of its Authorised Group Members, as relevant, in an Inclooded Member's calendar using the 'My Calendar Scheduler' functionality in the Community Suite.

This Fee is subject to a cap per Inclood Member per Membership Year.

 

1.5               A Personal Account Member or Group Account Member (as applicable) will pay the following Usage Fees relating to use of the 'My Item Viewer' and 'My Routine Scheduler' functionality in the Community Suite.

Payable Per Member Use*

My Item Viewer enables a Personal Account Member or a Group Account Member and any of its Authorised Group Members to allow an Inclooded Member to view an item in their item list.

A Fee is payable by a Personal Account Member or Group Account Member for each item recorded, which the Personal Account Member or Group Account Member or any of its Authorised Group Members, as relevant, allows an Inclooded Member to view through the 'My Item Viewer' functionality in the Community Suite.

This Fee is not subject to a cap per Inclood Member per Membership Year.

My Routine Scheduler Fee

Payable Per Member Use*

My Routine Scheduler enables a Personal Account Member or a Group Account Member and any of its Authorised Group Members to allow an Inclooded Member to view a task that is scheduled relating to an item in that Inclood Member's item list.

A Fee is payable for all tasks that are scheduled relating to an item for that period during an Inclood Member's Membership Year which a Personal Account Member or a Group Account Member or any of its Authorised Group Members allows an Inclooded Member to view using the 'My Routine Scheduler' functionality in the Community Suite.

This Fee is not subject to a cap per Inclood Member per Membership Year.

 

1.6               A Personal Account Member or Group Account Member (as applicable) will pay the following Usage Fees for data storage capacity in the Community Suite.

Inclood Storage Fee

Payable Per Member Use*

A Fee is payable if a Personal Account Member or a Group Account Member or any of its Authorised Group Members, as relevant, wishes to use additional data storage capacity in the Portal in excess of the data storage capacity or period permitted under the relevant Membership Plan, or in excess of any additional data storage plan purchased by the relevant Inclood Member.

The Fee is payable for specified gigabytes (GB), or other measurement, of data storage capacity for a specified period of time and is payable in advance, unless IT Global agrees with you in writing for it to be payable in arrears.

This Fee is not subject to a cap per Inclood Member per Membership Year.

 

1.7               A Personal Account Member or Group Account Member (as applicable) will pay the following Usage Fees relating to use of the 'Inclood System Connect' API in the Community Suite.

Inclood Connect Fee

A Fee is payable each time any data relating to an Accepted Request is transferred to or from the Portal through the Inclood Connect API.

 

2.                  Professional Services Fees

2.1               IT Global charges for Professional Services in its accordance with its current time and materials rates from time to time.

3.                  Support Fees

3.1               IT Global charges for Support Services on one of the following basis (as agreed between IT Global and the Personal Account Member or a Group Account Member from time to time):

Per Transaction Fee

A Fee is payable for each contact with the IT Global support team.

Per Month Fee

A monthly Fee is payable for Support Services per Inclood Member, calculated pro rata for any part of a month.

Annual Fee

An annual Fee is payable for Support Services per Inclood Member per Membership Year calculated pro rata for any part of a Membership Year.
